Dynamic Holdings Limited Announces Board and Committee Changes, Effective 30 June 2025 The board of directors of Dynamic Holdings Limited announced that Mrs. TAN Carmen K., an executive Director of the Company, has been appointed as member of the nomination committee of the Company with effect from 30 June 2025. Following the above appointment, the Nomination Committee comprises members of different genders and continues to consist of a majority of independent non-executive Directors. This appointment has been made to align with the amended corporate governance code set out in Appendix C1 to the Listing Rules, which will come into effect on 1 July 2025. The Board also announced that Mrs. PASCUAL Sheila Tan has been appointed as the alternate Director to Dr. TAN Lucio C., the Chairman of the Board and executive Director, and Mrs. TAN with effect from 30 June 2025. Mrs. PASCUAL, aged 62, has years of senior managerial experience specialising in banking and airline industries. Mrs. PASCUAL holds directorships in several listed companies. At present and in the past three years, she is and has been a director of PAL Holdings Inc. and Philippine National Bank, both securities of which are listed on The Philippine Stock Exchange Inc. Mrs. PASCUAL is related to other executive Directors of the Company, being the daughter of Dr. TAN and Mrs. TAN; the sister of Ms. TAN Vivienne Khao and Ms. TAN Irene Khao; and the spouse of Mr. PASCUAL Ramon Sy. There is no service contract or letter of appointment between the Company and Mrs. PASCUAL in respect of her role as the Alternate Director nor is her appointment as the Alternate Director subject to a fixed length of service.
