Main lender Pathward already cut the line from ten to seven million. No buffer, no plan B. 2. Systematic Expropriation of Shareholders Share count up over twenty percent in one year. Almost forty percent in two years. The company sells new shares through three channels at once. ATM program, public placement, private placement. On top of that six million per year in stock compensation to management. Seventeen million over two years. Shareholders get hit twice. This is a slow motion death spiral. 3. Goodwill Time Bomb Twenty million in goodwill on the balance sheet from the CardCash deal. Seventy five percent of the purchase price. Pure air. Calculated when the stock was at four dollars. Today below one dollar. Management refuses impairment. If honestly tested, equity gets wiped out. 4. Dangerous Customer and Vendor Concentration One merchant equals twelve percent of revenue and twenty two percent of gross profit. Three suppliers equal fifty six percent of all purchases. Not a business, a house of cards. And concentration got worse, not better. 5. Unquantified Legal Risk The company does not remit unredeemed gift card balances to US states. Delaware is aggressive on this. One successful lawsuit and back payments plus penalties plus interest hit the balance sheet. Not quantified. Ticking bomb. 6. Governance Red Flags CardCash founder sits on the board and gave the company a personal loan at eleven point five percent. Clearly above market rate, even for distressed firms. Insider deal, not arms length. Pattern of insiders earning from their own company. High risk micro cap. Only for speculators with strict position sizing and full acceptance of total loss.
