Insider Sellers Might Regret Selling Bandwidth Shares at a Lower Price Than Current Market Value
Bandwidth Inc.'s (NASDAQ:BAND) value has fallen 11% in the last week, but insiders who sold US$646k worth of stock over the last year have had less success. The average selling price of US$20.46 is still lower than the current share price, or in other words, insiders would have been better off holding on to their shares.
Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

Bandwidth Insider Transactions Over The Last Year
Over the last year, we can see that the biggest insider sale was by the Executive VP & CFO, Daryl Raiford, for US$235k worth of shares, at about US$20.45 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$17.46. So it may not tell us anything about how insiders feel about the current share price.

Insider Ownership
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Bandwidth insiders own about US$41m worth of shares. That equates to 8.2% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

There haven't been any insider transactions in the last three months -- that doesn't mean much. We don't take much encouragement from the transactions by Bandwidth insiders. The modest level of insider ownership is, at least, some comfort. If you are like me, you may want to think about whether this company will grow or shrink.
