Over the past year, many Align Technology, Inc. (NASDAQ:ALGN) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Align Technology

The Independent Director, Joseph Lacob, made the biggest insider sale in the last 12 months. That single transaction was for US$7.7m worth of shares at a price of US$313 each. That means that an insider was selling shares at around the current price of US$301. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

Happily, we note that in the last year insiders paid US$4.0m for 17.51k shares. But they sold 27.52k shares for US$8.4m. In total, Align Technology insiders sold more than they bought over the last year. They sold for an average price of about US$305. We don't gain confidence from insider selling below the recent share price. But we wouldn't put too much weight on the insider selling. Insider Ownership Of Align Technology

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Align Technology insiders own about US$944m worth of shares (which is 4.2% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Does This Data Suggest About Align Technology Insiders?

Insiders sold stock recently, but they haven't been buying. Zooming out, the longer term picture doesn't give us much comfort. But since Align Technology is profitable and growing, we're not too worried by this. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. While conducting our analysis, we found that Align Technology has 1 warning sign and it would be unwise to ignore it.
