It is not uncommon to see companies perform well in the years after insiders buy shares. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So we'll take a look at whether insiders have been buying or selling shares in Sheela Foam Limited (NSE:SFL).

What Is Insider Buying?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, such insiders must disclose their trading activities, and not trade on inside information.

Insider transactions are not the most important thing when it comes to long-term investing. But it is perfectly logical to keep tabs on what insiders are doing. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise'.

Sheela Foam Insider Transactions Over The Last Year

The Whole-Time Director, Tushaar Gautam, made the biggest insider sale in the last 12 months. That single transaction was for ₹1.4b worth of shares at a price of ₹1,358 each. That means that even when the share price was below the current price of ₹1,649, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 5.5% of Tushaar Gautam's holding. Tushaar Gautam was the only individual insider to sell over the last year.

Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It's great to see that Sheela Foam insiders own 59% of the company, worth about ₹49b. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
