Over the past year, many EEKA Fashion Holdings Limited (HKG:3709) insiders sold a significant stake in the company which may have piqued investors' interest. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

EEKA Fashion Holdings Insider Transactions Over The Last Year

The Chairman & CEO, Ming Jin, made the biggest insider sale in the last 12 months. That single transaction was for HK$236m worth of shares at a price of HK$10.72 each. That means that an insider was selling shares at slightly below the current price (HK$15.00). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 8.2% of Ming Jin's holding.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that EEKA Fashion Holdings insiders own 66% of the company, worth about HK$6.7b. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
