Multiple Insiders Sold Nanosonics Shares Presenting Weak Signs For Investors

Published
ASX:NAN

A number of Nanosonics Limited (ASX:NAN) insiders sold their shares in the last year, which may have raised concerns among investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Nanosonics

The Independent Non-Executive Director, David Fisher, made the biggest insider sale in the last 12 months. That single transaction was for AU$504k worth of shares at a price of AU$4.58 each. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. The silver lining is that this sell-down took place above the latest price (AU$4.11). So it may not shed much light on insider confidence at current levels.

Does Nanosonics Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Nanosonics insiders own about AU$188m worth of shares (which is 15% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Do The Nanosonics Insider Transactions Indicate?

There haven't been any insider transactions in the last three months -- that doesn't mean much. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Nanosonics insider transactions don't fill us with confidence.
