Kohnan Shoji Co., Ltd. (TSE:7516) completed the acquisition of Alleanza Holdings Co., Ltd. (TSE:3546). Kohnan Shoji Co., Ltd. (TSE:7516) proposed to acquire an 49.45% stake in Alleanza Holdings Co., Ltd. (TSE:3546) for ¥21.9 billion on February 12, 2026. A cash consideration of ¥21.89 billion valued at ¥1465 per share will be paid by Kohnan Shoji Co., Ltd. As part of consideration, ¥21.89 billion is paid towards common equity of Alleanza Holdings Co., Ltd. Kohnan Shoji Co., Ltd. form a special committee for the acquisition.
The transaction is subject to approval of offer by target board and minimum tender. The deal has been approved by the board of Alleanza Holdings Co., Ltd. The offer period will begin on February 13, 2026, and conclude on March 30, 2026.

Kohnan Shoji Co., Ltd. (TSE:7516) completed the acquisition of Alleanza Holdings Co., Ltd. (TSE:3546) on March 30, 2026. As per the transaction, Kohnan Shoji Co., Ltd. acquired 38.79% stake in Toin Corporation and will acquired remaining shares via squeeze-out procedures.
