Sinopharm Tech Holdings Limited Announces Changes of Directors and Board Committees, Effective 19 December 2025
Sinopharm Tech Holdings Limited at its AGM held on 19 December 2025, approved to elect Mr. DIU Peter ("Mr. DIU") and Mr. YU Ping Ming ("Mr. YU") as independent non-executive director of the Company. Mr. DIU Peter, aged 66, is a distinguished technology executive with more than three decades of leadership experience across artificial intelligence, semiconductors, wireless communications, and digital multimedia. His career reflects a rare blend of technical mastery and business acumen, spanning global technology enterprises, venture capital investment, R&D leadership, and strategic mergers and acquisitions. Currently, Mr. DIU provides high-level strategic advisory services to the global technology community. He serves as a Mentor and Domain Expert under the Hong Kong Science and Technology Park (HKSTP), where he guides multinational corporations and startups in areas such as third-generation semiconductors, advanced materials, communications, and artificial intelligence, and he also mentors portfolio companies of the German government-backed German Accelerator, supporting technology commercialization and international expansion. He has additionally served as Senior Advisor to the European investment bank Bryan, Garnier & Co., focusing on high-tech investments and global joint ventures. Previously, Mr. DIU held senior executive roles including Vice President at Qualcomm, where he drove internet-related business development, led roadmap planning for GPUs, AI, security, and sensor technologies, and oversaw the smartphone ecosystem in China; Vice President of Communications Technology and R&D Director at the Hong Kong Applied Science and Technology Research Institute (ASTRI), where he built a world-class semiconductor R&D team and worked with OFCA and ITC on spectrum policy initiatives; founder of Bitzmo Inc., a Silicon Valley startup specializing in ultra-wideband semiconductors; and leadership roles at Cadence Design Systems, National Semiconductor Corporation, and TRW Inc. Recognized as an industry thought leader, Mr. DIU was appointed by China’s Ministry of Information Industry to its expert committee on UWB technology standards, co-founded the Wireless Communications Alliance, served as Secretary of the IEEE ASSP Society, and has been a frequent keynote speaker at major technology conferences across Asia. He holds Bachelor’s and Master’s degrees in Electrical Engineering from Cornell University. Save as disclosed above, Mr. DIU did not hold any public company directorships in the last three years and has no relationships with directors, senior management, or substantial shareholders of the Company, nor any prior position within the Company or its subsidiaries. Mr. YU Ping Ming, aged 64, has been serving as a director of PAS Company Limited since June 2002, responsible for overall business development and management, and previously held roles primarily in sales and marketing, accumulating extensive experience; he also served as an independent non-executive director of Carry Wealth Holdings Limited from August 1, 2022 to February 1, 2023, and save as disclosed above, did not hold other listed directorships in the last three years and has no relevant relationships or positions within the Company or its subsidiaries. The Board further announces that with effect from 19 December 2025 (after conclusion of the AGM), Mr. HSU Dong An has resigned as an independent non-executive director due to other business engagements, confirmed no disagreement with the Board, and noted no other matters requiring shareholders’ attention. The Board also announces changes to board committee composition effective the same date: Mr. HSU resigned as chairperson of the Nomination Committee and as a member of the Audit, Remuneration, and Nomination Committees; Ms. KWOK Shuk Yi was appointed as a member of the Remuneration and Nomination Committees; Mr. LAU Fai Lawrence was appointed as a member and chairperson of the Nomination Committee; Mr. DIU was appointed as a member of the Audit, Remuneration, and Nomination Committees; and Mr. YU was appointed as a member of the Audit, Remuneration, and Nomination Committees.
