China Financial Services Holdings Limited Announces Board and Committee Changes, Effective May 28, 2026

China Financial Services Holdings Limited announced that Madam Zhan Lili retired from office as an independent non-executive Director with effect from May 28, 2026 upon conclusion of the annual general meeting held on May 28, 2026. Dr. Cheung Chai Hong was appointed as a non-executive Director upon the passing of the relevant resolution at the annual general meeting, and also as the chairman of the Board, both with effect from May 28, 2026. Dr. Cheung, aged 40, served as the executive Director from May 20, 2014 to December 17, 2022 and was responsible for the daily operations of the Group. He was the managing director of POC Holdings (HK) Limited, a leading authorised automobile dealership for Mercedes Benz and Jaguar Land Rover in the southwestern region of China. Dr. Cheung is also a director and leading founder of The Wine Company Limited, a fine wine retail and trading company in Hong Kong founded in 2010. Dr. Cheung previously worked in PAG Capital, an Asia-focused asset management company which has an asset under management size over USD 16 billion. Prior to joining PAG Capital, he also worked in Barclays Capital and focused on equity research on the retail and FMCG sector. Dr. Cheung holds a Bachelor Degree in Computer and Business Studies from University of Warwick, a Master Degree in Analysis, Design and Management of Information Systems from London School of Economics and Political Science and a PhD Degree in International Economic Law from China University of Political Science and Law. Dr. Cheung is currently a non-executive director of Grace Wine Holdings Limited from May 2021. He is also a director of the board of German Swiss International School Association Limited since March 2023. Following the change of Directors, with effect from May 28, 2026 upon conclusion of the annual general meeting, Madam Zhan ceased to be a member of each of the audit committee, the remuneration committee, the nomination committee and the business risks committee of the Company, and Dr. Cheung was appointed as a member of each of the business risks committee and the audit committee of the Company. The Company currently has a single gender Board which does not meet the requirement under Rule 13.92 of the Listing Rules. The Board is in the process of identifying a suitable female candidate for appointment as a Director, and will use its best endeavors to ensure a suitable candidate is appointed as soon as practicable, and in any event within three months from the date of this announcement pursuant to Rule 13.92 of the Listing Rules.
