Vend Marketplaces ASA (OB:VEND) commences an Equity Buyback Plan for 21,091,181 shares, representing 10% of its issued share capital, under the authorization approved on April 30, 2026. Vend Marketplaces ASA (OB:VEND) commences share repurchases on May 4, 2026, under the program mandated by the shareholders in the Annual General Meeting held on April 30, 2026. As per the mandate, the company is authorized to repurchase up to 21,091,181 shares, representing 10% of the outstanding share capital. The minimum price that may be paid is NOK 30 per share and the maximum price that may be paid is NOK 1,000 per share. The repurchased shares may serve as settlement in the company's long term incentive schemes, employee share saving program and acquisitions and to improve the capital structure of the company. The repurchase program will be valid till the next Annual General Meeting in 2027, but not later than June 30, 2027. As of April 30, 2026, the company had 210,911,811 ordinary shares.
On April 30, 2026, the company initiated a Market Repurchase. Under the program, the company will repurchase up to NOK 4,000 million worth of its shares in two tranches comprising of NOK 2,000 million each. Under the first tranche, the company has entered into a non-discretionary agreement with Skandinaviska Enskilda Banken AB to carry out repurchase up to NOK 2,000 million worth of its shares. Under the program, the minimum price that can be paid per share is NOK 50 and the maximum price is NOK 500. Clar Global Ab (Publ) completed the acquisition of Lendo AS from Vend Marketplaces ASA (OB:VENDA). Clar Global Ab (Publ) agreed to acquire Lendo AS from Vend Marketplaces ASA (OB:VENDA) for an enterprise value at NOK 1.0 billion on September 19, 2025. Clar Global AB will be issuing approximately NOK 487.9 million (SEK 450 million) senior secured bonds in relation to its acquisition of Lendo Group from Vend Marketplaces ASA underwritten by DNB Carnegie.
The parties have signed the final transaction agreements and is subject to approval from regulatory authorities and other customary closing conditions with completion expected during the first quarter of 2026.

Clar Global Ab (Publ) completed the acquisition of Lendo AS from Vend Marketplaces ASA (OB:VENDA) on March 10, 2026. All necessary regulatory approvals in Sweden and Norway have been obtained. In connection with the acquisition, Clar is further strengthening its ownership base by bringing in Bankaktiebolaget Nordiska (publ) as an industrial minority owner in Clar. In connection with this, Mikael Gellbäck will join the board and contribute additional expertise in corporate governance and the financial sector.
