Gridwiz Co.,Ltd. has announced a private placement of Series 1 Bearer-type, interest-free, unsecured private placement convertible bonds of the company to raise gross proceeds of KRW 15,000,000,000 on August 24, 2026. The transaction involves the investor participation from Orion Premium KOSDAQ Venture General Private Equity Investment Trust No. 131 advised by NH Investment & Securities Co., Ltd. for bonds, Orion Premium KOSDAQ Venture General Private Equity Investment Trust No. 135 advised by NH Investment & Securities Co., Ltd. for bonds, Orion National Growth Stepping Stone General Private Equity Investment Trust No. 1 advised by Industrial Bank of Korea for bonds and other funds and advised investors. The bonds are 100% convertible into 1,062,623 common shares of the company at a conversion price value of KRW 14,116 and carry interest rate of 0% and maturity interest rate of 0%. The conversion billing period starts from September 1, 2027 to August 1, 2031. The transaction has been approved by the board of directors of the company. The transaction is subject to 1 year hold period. The bonds have a maturity date of September 1, 2031. The transaction is expected to close on September 1, 2026. On the same day company announced private placement to issue Series 2 Unregistered, non-interested, unsecured private convertible bonds of the company to raise gross proceeds of KRW 10,000,000,000. The transaction involves new investor participation from KB-SBI Global Strategic Capital Fund for KRW 10,000,000,000 current sponsored by SBI Investment Korea Co., Ltd. The bonds are 100% convertible into 708,415 common shares of the company at a conversion price value of KRW 14,116 and carry interest rate of 0% and maturity interest rate of 0%. The conversion billing period starts from September 1, 2027 to August 1, 2031. The transaction has been approved by the board of directors of the company. The bonds have a maturity date of September 1, 2031. The transaction is expected to close on September 1, 2026.
