IMT Co., Ltd. announced a private placement of series 6 unsecured privately placed convertible bonds for gross proceeds of KRW 10,000,000,000 on August 20, 2026. The transaction will include participation from new investors, Suseong KOSDAQ Venture H6 General Private Investment Trust for KRW 800,000,000, Suseong KOSDAQ Venture H7 General Private Investment Trust for KRW 800,000,000, Suseong KOSDAQ Venture H10 General Private Equity Trust for KRW 150,000,000, Suseong KOSDAQ Venture H9 General Private Investment Trust for KRW 450,000,000, Suseong KOSDAQ Venture H8 General Private Investment Trust for KRW 300,000,000, C-Square Venture Investment General Private Securities Investment Trust No. 20 for KRW 500,000,000, C-Square Venture Investment General Private Securities Investment Trust No. 21 for KRW 1,500,000,000, C-Square Mezzanine Plus General Private Securities Investment Trust No. 31 for KRW 500,000,000, GVA Coben-N1 General Private Equity Trust for KRW 2,300,000,000, GVA Koben-1 General Private Equity Trust No. 2 for KRW 700,000,000, Orion Premium KOSDAQ Venture General Private Investment Trust No. 130 for KRW 900,000,000, Orion Premium KOSDAQ Venture General Private Equity Trust No. 138 for KRW 200,000,000, Orion Premium KOSDAQ Venture General Private Equity Trust No. 145 for KRW 300,000,000, and Kiwoom-Orion Mezzanine New Technology Fund No. 1 for KRW 600,000,000. The bonds carry a coupon rate and maturity interest rate of 0% and will mature on August 28, 2031. The bonds are fully convertible into 789,827 common shares of the company at a conversion price of KRW 12,661 per share. The bonds can be converted between August 28, 2027 and July 28, 2031. The bonds have a hold period of one year from from the date of issuance. The transaction is expected to close on August 28, 2026. The subscription date is August 28, 2026. The transaction has been approved by the board of directors of the company on August 20, 2026.
