Myriad Uranium Corp. (CNSX:M) completed the acquisition of Rush Rare Metals Corp. (CNSX:RSH). Myriad Uranium Corp. (CNSX:M) signed a letter of intent to acquire Rush Rare Metals Corp. (CNSX:RSH) for CAD 10.5 million on August 6, 2025. Myriad Uranium Corp. signed an agreement to acquire Rush Rare Metals Corp. on February 13, 2026. Under the Arrangement, Myriad would issue one Myriad common share in exchange for every two Rush Shares. As on January 7, 2026, Rush has entered into a renewed letter of intent under which Myriad would acquire all of the Rush Shares by issuing 1 Myriad common share (each, a "Myriad Share") for every 1.85 Rush Shares issued and outstanding. Following closing of the Arrangement, Rush would become Myriad's wholly-owned subsidiary and would be delisted from the CSE and Rush intends to apply to cease to be a reporting issuer under applicable Canadian securities laws.
The transaction is subject to completion of mutual due diligence, negotiation and execution of a definitive agreement, approval of the Rush shareholders, approval of the British Columbia Supreme Court and approval of the Canadian Securities Exchange. It is not anticipated the transaction will require the approval of Myriad shareholders. As of October 30, 2025, the letter of intent, outlining a potential merger with Myriad Uranium Corp. has expired. The transaction is unanimously approved by Rush's Board. The special meeting of Rush Shareholders will be held to approve the transaction on August 17, 2026. The Board of Directors of Rush Rare Metals Corp. formed a special committee for the transaction. For the Arrangement to become effective, the Arrangement Resolution must first be approved at the Meeting by the affirmative vote of at least two-thirds (66 2/3%) of the votes cast by Rush Shareholders. On August 17, 2026, Rush Shareholders approved the merger and on August 19, 2026, Rush has obtained a final order from the Supreme Court of British Columbia approving the arrangement. The Arrangement is expected to be completed on or about August 21, 2026.
