New major risk - Shareholder dilution The company's shareholders have been substantially diluted in the past year. Increase in shares outstanding: 71% This is considered a major risk. Shareholder dilution occurs when there is an increase in the number of shares on issue that is not proportionally distributed between all shareholders. Often due to the company raising equity capital or some options being converted into stock. All else being equal, if there are more shares outstanding then each existing share will be entitled to a lower proportion of the company's total earnings, thus reducing earnings per share (EPS). While dilution might not always result in lower EPS (like if the company is using the capital to fund an EPS accretive acquisition) in a lot cases it does, along with lower dividends per share and less voting power at shareholder meetings. American Critical Minerals Corp. announced that it has received CAD 6.74005 million in funding On November 3, 2025, American Critical Minerals Corp. closed the transaction. The company announced that it has issued 15,574,450 units of the Company (the "Units") at a price of CAD 0.35 per Unit (the "Offering Price") for aggregate gross proceeds to the Company of approximately CAD 5,451,000 including the over allotment option and 5,714,286 Units at the Offering Price for aggregate gross proceeds to the Company of CAD 2,000,000.10 (the "Non-Brokered Offering" and together with the Brokered Offering, the "Offering"). Each Unit is comprised of one common share of the Company (a "Common Share") and one-half of one Common Share purchase warrant of the Company (each whole warrant, a "Warrant"). Each Warrant shall entitle the holder thereof to purchase one Common Share at an exercise price of CAD 0.45 per Common Share for a period of 36 months following closing of the Offering, provided that holders will not be permitted to exercise Warrants until 60 days following closing of the Offering. The Company entered into an underwriting agreement dated November 3, 2025, with the Underwriter, pursuant to which the Company paid the Underwriter a cash commission of 7.0% of the aggregate gross proceeds of the Brokered Offering and such number of non-transferable broker warrants (the "Broker Warrants") as is equal to 7.0% of the number of Units sold under the Brokered Offering. Each Broker Warrant entitles the holder to purchase one Unit at an exercise price equal to the Offering Price for a period of 36 months following the Closing. In connection with the Non-Brokered Offering, the Company paid an aggregate cash finder's fee of CAD 137,882.50 and issued 393,950 Broker Warrants to such finders. The Broker Warrants are subject to a statutory hold period of four months and a day from the closing of the Offering. Dean Besserer, participated in the Non-Brokered Offering purchasing 50,000 Units at the Offering Price for gross proceeds of CAD 17,500.00.
