In this analysis, my focus will be on developing a perspective on MMP Resources Limited’s (SGX:F3V) latest ownership structure, a less discussed, but important factor. A company's ownership structure is often linked to its share performance in both the long- and short-term. Differences in ownership structure of companies can have a profound effect on how management's incentives are aligned with shareholder returns, and whether they adhere to corporate governance best practices. Although this is an important factor for long-term investors, many investors can also be impacted by institutional presence and their high-volume trading. Therefore, I will take a look at F3V's shareholders in more detail.

    Institutional Ownership

In F3V's case, institutional ownership stands at 32.75%, significant enough to cause considerable price moves in the case of large institutional transactions, especially when there is a low level of public shares available on the market to trade. Although F3V has a high institutional ownership, such stock moves, in the short-term, are more commonly linked to a particular type of active institutional investors – hedge funds. For F3V shareholders, the potential of this type of share price volatility shouldn't be as concerning as hedge fund ownership is is not significant, indicating few chances of such sudden price moves. While that hardly seems concerning, I will explore further into F3V's ownership type to find out how it can affect the company’s investment profile.

    Insider Ownership

I find insiders are another important group of stakeholders, who are directly involved in making key decisions related to the use of capital. In essence, insider ownership is more about the alignment of shareholders' interests with the management. A major group of owners of F3V is individual insiders, sitting with a hefty 15.29% stake in the company. Broadly, insider ownership of this level has been found to negatively affect companies with consistently low PE ratio (underperforming). And a positive impact has been seen on companies with a high PE ratio (outperforming). Another aspect of insider ownership is to learn about their recent transactions. While insider buying is possibly a sign of a positive outlook for the company, selling doesn't necessarily indicate a negative outlook as they may be selling to meet personal financial needs.

    General Public Ownership

The general public holds a substantial 48.12% stake in F3V, making it a highly popular stock among retail investors. With this size of ownership, retail investors can collectively play a role in major company policies that affect shareholders returns, including executive remuneration and the appointment of directors. They can also exercise the power to decline an acquisition or merger that may not improve profitability.

    Private Company Ownership

Another important group of owners for potential investors in F3V are private companies that hold a stake of 3.84% in F3V. These are companies that are mainly invested due to their strategic interests or are incentivized by reaping capital gains on investments their shareholdings. However, an ownership of this size may be relatively insignificant, meaning that these shareholders may not have the potential to influence F3V's business strategy. Thus, investors not need worry too much about the consequences of these holdings.

    What this means for you:

The company's high institutional ownership makes margin of safety a very important consideration to existing investors since long bull and bear trends often emerge when these big-ticket investors see a change in long-term potential of the company. This is to avoid getting trapped in a sustained sell-off that is often observed in stocks with this level of institutional participation. However, ownership structure should not be the only determining factor when you’re building an investment thesis for F3V. Instead, you should be evaluating company-specific factors such as the intrinsic valuation, which is a key driver of MMP Resources’s share price.
