Even though Knowles Corporation (NYSE:KN) stock gained 3.7% last week, insiders who sold US$352k worth of stock over the past year are probably better off. Holding on to stock would have meant their investment would be worth less now than it was at the time of sale. Thus selling at an average price of US$21.25, which is higher than the current price, may have been the best decision.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Knowles Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Independent Director, Ye Li, for US$293k worth of shares, at about US$21.80 per share. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. The silver lining is that this sell-down took place above the latest price (US$15.60). So it is hard to draw any strong conclusion from it.

Knowles Insiders Bought Stock Recently

There was some insider buying at Knowles over the last quarter. Independent Director Daniel Crowley purchased US$28k worth of shares in that period. It's good to see the insider buying, as well as the lack of recent sellers. But the amount invested in the last three months isn't enough for us too put much weight on it, as a single factor.

Insider Ownership Of Knowles

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 1.1% of Knowles shares, worth about US$16m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About Knowles Insiders?

Insider purchases may have been minimal, in the last three months, but there was no selling at all. That said, the purchases were not large. We don't take much encouragement from the transactions by Knowles insiders. But we do like the fact that insiders own a fair chunk of the company.
