We'd be surprised if Ventas, Inc. (NYSE:VTR) shareholders haven't noticed that the Senior VP, Gregory Liebbe, recently sold US$200k worth of stock at US$54.04 per share. The eyebrow raising move amounted to a reduction of 27% in their holding.

Ventas Insider Transactions Over The Last Year

The Executive VP & CFO, Robert Probst, made the biggest insider sale in the last 12 months. That single transaction was for US$675k worth of shares at a price of US$42.20 each. That means that even when the share price was below the current price of US$52.90, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 26% of Robert Probst's stake.

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term.
