We often see insiders buying up shares in companies that perform well over the long term. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Xenon Pharmaceuticals Inc. (NASDAQ:XENE).

What Is Insider Buying?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, rules govern insider transactions, and certain disclosures are required.

We don't think shareholders should simply follow insider transactions. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

Xenon Pharmaceuticals Insider Transactions Over The Last Year

The CEO & Director, Simon Pimstone, made the biggest insider sale in the last 12 months. That single transaction was for US$113k worth of shares at a price of US$14.43 each. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The good news is that this large sale was at well above current price of US$10.83. So it is hard to draw any strong conclusion from it. Simon Pimstone was the only individual insider to sell shares in the last twelve months.

Does Xenon Pharmaceuticals Boast High Insider Ownership?

Many investors like to check how much of a company is owned by insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Xenon Pharmaceuticals insiders own about US$15m worth of shares. That equates to 3.9% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The Xenon Pharmaceuticals Insider Transactions Indicate?

There haven't been any insider transactions in the last three months -- that doesn't mean much. Still, the insider transactions at Xenon Pharmaceuticals in the last 12 months are not very heartening.
