Soleno Therapeutics Insiders Sell US$39m Of Stock, Possibly Signalling Caution
The fact that multiple Soleno Therapeutics, Inc. (NASDAQ:SLNO) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.
Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.
The Last 12 Months Of Insider Transactions At Soleno Therapeutics
In the last twelve months, the biggest single sale by an insider was when the Chairman, Anish Bhatnagar, sold US$12m worth of shares at a price of US$72.64 per share. That means that an insider was selling shares at slightly below the current price (US$77.73). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 23% of Anish Bhatnagar's stake.

Insiders At Soleno Therapeutics Have Sold Stock Recently
The last quarter saw substantial insider selling of Soleno Therapeutics shares. In total, insiders sold US$19m worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.
Insider Ownership
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that Soleno Therapeutics insiders own 1.4% of the company, worth about US$55m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

What Might The Insider Transactions At Soleno Therapeutics Tell Us?
Insiders sold Soleno Therapeutics shares recently, but they didn't buy any. Looking to the last twelve months, our data doesn't show any insider buying. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
