Don't Ignore The Insider Selling In First American Financial
Some First American Financial Corporation (NYSE:FAF) shareholders may be a little concerned to see that the Independent Director, James Doti, recently sold a substantial US$501k worth of stock at a price of US$65.17 per share. That's a big disposal, and it decreased their holding size by 10%, which is notable but not too bad.
The Last 12 Months Of Insider Transactions At First American Financial
The Executive Chairman of the Board, Dennis Gilmore, made the biggest insider sale in the last 12 months. That single transaction was for US$7.1m worth of shares at a price of US$64.13 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$66.00. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 19% of Dennis Gilmore's holding.

Does First American Financial Boast High Insider Ownership?
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. First American Financial insiders own about US$248m worth of shares (which is 3.7% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
