It is not uncommon to see companies perform well in the years after insiders buy shares. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Intuitive Surgical, Inc. (NASDAQ:ISRG).
Do Insider Transactions Matter?
It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, rules govern insider transactions, and certain disclosures are required.
We don't think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.'
Intuitive Surgical Insider Transactions Over The Last Year
In the last twelve months, the biggest single sale by an insider was when the Chairman, Lonnie Smith, sold US$128k worth of shares at a price of US$521 per share. That means that even when the share price was below the current price of US$578, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was only 0.04% of Lonnie Smith's holding. Lonnie Smith was the only individual insider to sell over the last year.
Lonnie Smith divested 945 shares over the last 12 months at an average price of US$516. The chart below shows insider transactions (by individuals) over the last year. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insider Ownership of Intuitive Surgical
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. It's great to see that Intuitive Surgical insiders own 0.9% of the company, worth about US$626m. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
So What Do The Intuitive Surgical Insider Transactions Indicate?
An insider sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. On the plus side, Intuitive Surgical makes money, and is growing profits. It is good to see high insider ownership, but the insider selling leaves us cautious.
