Possible Bearish Signals With Axogen Insiders Disposing Stock

Published
NasdaqCM:AXGN

Axogen, Inc. (NASDAQ:AXGN) shareholders might have a reason to worry after multiple insiders sold their shares over the last year. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Axogen

Over the last year, we can see that the biggest insider sale was by the insider, Michael Donovan, for US$320k worth of shares, at about US$8.81 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$14.07. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was 50% of Michael Donovan's holding.

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. Axogen insiders own about US$29m worth of shares. That equates to 4.9% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
