Did WPX Energy, Inc. (NYSE:WPX) Insiders Sell Shares?

We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So we’ll take a look at whether insiders have been buying or selling shares in WPX Energy, Inc. (NYSE:WPX).

Do Insider Transactions Matter?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, rules govern insider transactions, and certain disclosures are required.

We don’t think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Columbia University study found that ‘insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers’.

The Last 12 Months Of Insider Transactions At WPX Energy

In the last twelve months, the biggest single sale by an insider was when the President & COO, Clay Gaspar, sold US$992k worth of shares at a price of US$18.03 per share. That means that an insider was selling shares at around the current price of US$15.23. While we don’t usually like to see insider selling, it’s more concerning if the sales take price at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern. Notably Clay Gaspar was also the biggest buyer, having purchased US$646 worth of shares.

Insider Ownership of WPX Energy

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it’s a good sign if insiders own a significant number of shares in the company. It appears that WPX Energy insiders own 1.0% of the company, worth about US$67m. We’ve certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
