We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So shareholders might well want to know whether insiders have been buying or selling shares in Targa Resources Corp. (NYSE:TRGP).

What Is Insider Selling?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, such insiders must disclose their trading activities, and not trade on inside information.

We don't think shareholders should simply follow insider transactions. But logic dictates you should pay some attention to whether insiders are buying or selling shares. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

The Last 12 Months Of Insider Transactions At Targa Resources

Over the last year, we can see that the biggest insider sale was by the Independent Director, Rene Joyce, for US$1.1m worth of shares, at about US$7.00 per share. That means that an insider was selling shares at slightly below the current price (US$32.06). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was only 15% of Rene Joyce's holding. The only individual insider seller over the last year was Rene Joyce.

Rene Joyce divested 200.36k shares over the last 12 months at an average price of US$9.71. Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Targa Resources insiders own about US$127m worth of shares (which is 1.8% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Does This Data Suggest About Targa Resources Insiders?

The fact that there have been no Targa Resources insider transactions recently certainly doesn't bother us. While we feel good about high insider ownership of Targa Resources, we can't say the same about the selling of shares. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
