Did Chuy’s Holdings, Inc. (NASDAQ:CHUY) Insiders Sell Shares?

We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So shareholders might well want to know whether insiders have been buying or selling shares in Chuy’s Holdings, Inc. (NASDAQ:CHUY).

What Is Insider Selling?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, rules govern insider transactions, and certain disclosures are required.

We don’t think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Harvard University study found that ‘insider purchases earn abnormal returns of more than 6% per year.’

In the last twelve months, the biggest single sale by an insider was when VP, CFO & Director Jon Howie sold US$149k worth of shares at a price of US$30.25 per share. Although we don’t gain confidence from insider selling, we note that this large sale was at well above current price of US$17.14. So it may not tell us anything about how insiders feel about the current share price. The only individual insider seller over the last year was Jon Howie.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. It’s great to see that Chuy’s Holdings insiders own 0.7% of the company, worth about US$2.3m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
