Clean Harbors Insiders Sell US$43m Of Stock, Possibly Signalling Caution

Over the past year, many Clean Harbors, Inc. (NYSE:CLH) insiders sold a significant stake in the company which may have piqued investors' interest. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Clean Harbors Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Founder, Alan McKim, for US$22m worth of shares, at about US$225 per share. That means that an insider was selling shares at slightly below the current price (US$231). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 3.9% of Alan McKim's holding.

In total, Clean Harbors insiders sold more than they bought over the last year. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. Over the last three months, we've seen significant insider selling at Clean Harbors. In total, insiders dumped US$26m worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership Of Clean Harbors

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Clean Harbors insiders own about US$672m worth of shares (which is 5.4% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

Insiders haven't bought Clean Harbors stock in the last three months, but there was some selling. Despite some insider buying, the longer term picture doesn't make us feel much more positive.
