It is not uncommon to see companies perform well in the years after insiders buy shares. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Premier Financial Corp. (NASDAQ:PFC).

What Is Insider Buying?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, rules govern insider transactions, and certain disclosures are required.

Insider transactions are not the most important thing when it comes to long-term investing. But logic dictates you should pay some attention to whether insiders are buying or selling shares. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise'.

Premier Financial Insider Transactions Over The Last Year

In the last twelve months, the biggest single purchase by an insider was when CFO & Executive VP Paul Nungester bought US$273k worth of shares at a price of US$18.23 per share. Although we like to see insider buying, we note that this large purchase was at significantly below the recent price of US$29.53. While it does suggest insiders consider the stock undervalued at lower prices, this transaction doesn't tell us much about what they think of current prices.

Happily, we note that in the last year insiders paid US$640k for 33.55k shares. But insiders sold 4.60k shares worth US$105k. In total, Premier Financial insiders bought more than they sold over the last year. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Insiders own 1.9% of Premier Financial shares, worth about US$21m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About Premier Financial Insiders?

The fact that there have been no Premier Financial insider transactions recently certainly doesn't bother us. However, our analysis of transactions over the last year is heartening.
