It is not uncommon to see companies perform well in the years after insiders buy shares. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So shareholders might well want to know whether insiders have been buying or selling shares in Nepa AB (publ) (STO:NEPA).

Do Insider Transactions Matter?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, most countries require that the company discloses such transactions to the market.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

Nepa Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when Director Bo Mattsson sold kr1.7m worth of shares at a price of kr59.07 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of kr61.00. While their view may have changed since they sold, this isn't a particularly bullish sign. As a general rule we consider it to be discouraging when insiders are selling below the current price. Please note, however, that this single sale was just 14.9% of Bo Mattsson's stake. Bo Mattsson was the only individual insider to sell over the last year.

Bo Mattsson sold a total of 36.34k shares over the year at an average price of kr59.63. You can see a visual depiction of insider transactions (by individuals) over the last 12 months, below. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insider Ownership of Nepa

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Nepa insiders own about kr198m worth of shares (which is 41% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Does This Data Suggest About Nepa Insiders?

An insider hasn't bought Nepa stock in the last three months, but there was some selling. And there weren't any purchases to give us comfort, over the last year. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. Along with insider transactions, I recommend checking if Nepa is growing revenue. This free chart of historic revenue and earnings should make that easy.
