B2Gold Corp. (TSE:BTO) Insiders Have Been Selling

We often see insiders buying up shares in companies that perform well over the long term. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So before you buy or sell B2Gold Corp. (TSE:BTO), you may well want to know whether insiders have been buying or selling.

Do Insider Transactions Matter?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.

We don't think shareholders should simply follow insider transactions. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year'.

The Last 12 Months Of Insider Transactions At B2Gold

The Senior Vice President of Exploration, Thomas Garagan, made the biggest insider sale in the last 12 months. That single transaction was for CA$7.4m worth of shares at a price of CA$7.40 each. That means that an insider was selling shares at around the current price of CA$7.13. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Over the last year, we can see that insiders have bought 339.32k shares worth CA$1.1m. But insiders sold 4.30m shares worth CA$33m. In total, B2Gold insiders sold more than they bought over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that B2Gold insiders own 1.2% of the company, worth about CA$91m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

What Might The Insider Transactions At B2Gold Tell Us?

There haven't been any insider transactions in the last three months -- that doesn't mean much. We don't take much encouragement from the transactions by B2Gold insiders. But we do like the fact that insiders own a fair chunk of the company. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing B2Gold. For example, B2Gold has 4 warning signs (and 1 which shouldn't be ignored) we think you should know about.
