Myriad Genetics, Inc. (NASDAQ:MYGN) Insiders Have Been Selling

We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we’d be remiss not to mention that insider sales have been known to precede tough periods for a business. So before you buy or sell Myriad Genetics, Inc. (NASDAQ:MYGN), you may well want to know whether insiders have been buying or selling.

What Is Insider Selling?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, most countries require that the company discloses such transactions to the market.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Columbia University study found that ‘insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers’.

Myriad Genetics Insider Transactions Over The Last Year

The insider, Ralph McDade, made the biggest insider sale in the last 12 months. That single transaction was for US$61k worth of shares at a price of US$31.00 each. So it’s clear an insider wanted to take some cash off the table, even below the current price of US$45.48. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don’t know for sure what they think of the stock price. We note that the biggest single sale was only 3.7% of Ralph McDade’s holding. Ralph McDade was the only individual insider to sell shares in the last twelve months.

Insider Ownership of Myriad Genetics

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Myriad Genetics insiders own about US$42m worth of shares. That equates to 1.3% of the company. While this is a strong but not outstanding level of insider ownership, it’s enough to indicate some alignment between management and smaller shareholders.

So What Do The Myriad Genetics Insider Transactions Indicate?

It doesn’t really mean much that no insider has traded Myriad Genetics shares in the last quarter. We don’t take much encouragement from the transactions by Myriad Genetics insiders. The modest level of insider ownership is, at least, some comfort. If you are like me, you may want to think about whether this company will grow or shrink.
