How Much Are Myriad Genetics, Inc. (NASDAQ:MYGN) Insiders Spending On Buying Shares?

It is not uncommon to see companies perform well in the years after insiders buy shares. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So we’ll take a look at whether insiders have been buying or selling shares in Myriad Genetics, Inc. (NASDAQ:MYGN).

Do Insider Transactions Matter?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, such insiders must disclose their trading activities, and not trade on inside information.

Insider transactions are not the most important thing when it comes to long-term investing. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Columbia University study found that ‘insiders are more likely to engage in open market purchases of their own company‚Äôs stock when the firm is about to reveal new agreements with customers and suppliers’.

Myriad Genetics Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider purchase was by Independent Director John Henderson for US$164k worth of shares, at about US$23.46 per share. That means that even when the share price was higher than US$11.64 (the recent price), an insider wanted to purchase shares. While their view may have changed since the purchase was made, this does at least suggest they have had confidence in the company’s future. In our view, the price an insider pays for shares is very important. It is generally more encouraging if they paid above the current price, as it suggests they saw value, even at higher levels.

Over the last year, we can see that insiders have bought 12.86k shares worth US$314k. On the other hand they divested 4354 shares, for US$86k. In the last twelve months there was more buying than selling by Myriad Genetics insiders. The chart below shows insider transactions (by individuals) over the last year. Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Myriad Genetics insiders own about US$14m worth of shares. That equates to 1.6% of the company. While this is a strong but not outstanding level of insider ownership, it’s enough to indicate some alignment between management and smaller shareholders.
