Don’t Ignore The Fact That This Insider Just Sold Some Shares In Quad/Graphics, Inc. (NYSE:QUAD)

We’d be surprised if Quad/Graphics, Inc. (NYSE:QUAD) shareholders haven’t noticed that the Director, John Fowler, recently sold US$112k worth of stock at US$11.19 per share. On the bright side, that sale was only-8.4% of their holding, so we doubt it’s very meaningful, on its own.

The Executive Vice President of Product & Market Strategy, Eric Ashworth, made the biggest insider sale in the last 12 months. That single transaction was for US$197k worth of shares at a price of US$13.14 each. We generally don’t like to see insider selling, but the lower the sale price, the more it concerns us. The silver lining is that this sell-down took place above the latest price (US$10.34). So it is hard to draw any strong conclusion from it.

For a common shareholder, it is worth checking how many shares are held by company insiders. I reckon it’s a good sign if insiders own a significant number of shares in the company. It appears that Quad/Graphics insiders own 6.5% of the company, worth about US$36m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
